 Software License Agreement

 

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("AGREEMENT")WHICH IS PRESENTED ELECTRONICALLY BY ANRITSU CORPORATION ("ANRITSU") BEFORE ACCESSING THE SOFTWARE PROGRAM DOWNLOAD. YOU ARE AUTHORIZED TO DOWNLOAD SOFTWARE ONLY IF YOU AGREE TO ALL THE TERMS OF THIS LICENSE.

YOU MAY DOWNLOAD THE SOFTWARE UPON YOUR AGREEMENT BY CLICKING THE "AGREE" BUTTON, AND YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THESE TERMS, CLICK "DISAGREE".

 

  1. Definition
    • "Software" means the downloaded software program.
    • "Licensee" means the customer downloaded Software upon this Agreement.
    • "Product" means the customer's system distributed by Anritsu for utilizing of Software.
  2. Copyright
    • Anritsu retains the Software copyright, even if the Licensee has already downloaded the Software and is using it.
    • The Licensee shall not copy, de-compile, reverse engineer, disassemble, modify or create derivative works of the Software without the prior consent of Anritsu.
    • The Licensee shall not transfer, sell or rent the Software to any third party without the prior written consent of Anritsu.
  3. License
    • This Agreement gives the Licensee the right to use the Software with one Product.
    • The Software usage includes the storing of Software onto the Product, even if the Licensee does not use all the Products at the same time.
    • If the Licensee has more than one Product, the Licensee may use the Software the same number of the Products.
    • The Licensee may make one copy of Software for backup purposes only, which means that the Licensee may only use either the backup copy, or the original copy of Software.
  4. No Warranty
    • ANRITSU MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE OR ANY OTHER INFORMATION OR DOCUMENTATION THAT MAY BE PROVIDED UNDER THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABLITY OR FITNESS FOR A PARTICULAR PURPOSE OR AGAINST INFRINGEMENT OR ANY EXPRESS OR IMPLIED WARRANTY ARISING OUT OF TRADE USAGE OR OUT OF A COURSE OF DEALING OR COURSE OF PERFORMANCE.
    • Anritsu may change the specification of the Software and/or suspend the service to provide the Software download service without the prior consent of the Licensee. In such case, Anritsu is not liable for any indirect, or consequential damages and compensation on the loss of the profits/commercial damages.
  5. Export Controls
    • The Software and its manuals may require an Export License/Approval by the Government of the product's country of origin for re-export from the Licensee's country. Before re-exporting the Software or its manuals, the Licensee shall confer with Anritsu whether they are export controlled items or not.
    • The Licensee shall use the Software for the intended purpose only for the Product.
    • The Licensee shall not use the Software for MILITARY USE and for USES related to WEAPONS of MASS DESTRUCTION.
  6. Damages
    • In the events that Anritsu suffer a damage caused by the Licensee breaching any provision hereof, Anritsu has the right to make a claim for such damages against the Licensee.
  7. Termination
    • The rights of Licensee under Agreement shall be terminated by Anritsu, in the event you fail to comply with any terms of Agreement, including violate Anritsu copyright. And Licensee shall not use the Software after this notice by Anritsu.
    • This Agreement shall commence upon the date downloaded by Licensee and continue until terminated as set forth in this Agreement. Or Anritsu may terminate this Agreement with written notice one month before termination date.
  8. Obligation after Termination
    • Upon termination of this Agreement subject to the article 7, Licensee must immediately cease all use of Software, and destroy all copies, full or partial, of Software and related documentation.
  9. Governing Law
    • This Agreement shall be governed by the laws of Japan, without reference to conflict of laws principles. All disputes, controversies or differences which may arise between the parties hereto in relation to or in connection with this Agreement shall be settled by arbitration in Tokyo, Japan in accordance with the Rules of Procedures of the Japan Commercial Arbitration Association.
